Overview
Mason Corbett is a member of the firm’s corporate, healthcare, and real estate groups, with a focus on mergers and acquisitions, commercial lending, commercial real estate, and business formation. Mason combines strong business acumen with legal expertise to deliver comprehensive, integrated solutions that help clients achieve their business objectives.
Before embarking on his legal career, Mason was an outfielder for the Texas A&M Baseball team, where his experience as a Division I athlete fostered the values of discipline, determination, and teamwork—qualities that continue to shape his legal practice. Mason graduated magna cum laude from the Texas A&M School of Law, where he was inducted into the Order of the Coif and served as a board member of the Texas A&M Law Review. He also authored a published article addressing antitrust issues related to NCAA scholarship limitations.
Outside of his legal practice, Mason enjoys spending time with friends and family, playing golf, watching sports, and strength training. He also serves on the advisory board of Kinetic Kids DFW, a nonprofit dedicated to providing adaptive sports, fine arts, and educational programming for children with intellectual and physical challenges.
Experience
- Negotiated and facilitated asset and equity purchase transactions on both the buy and sell sides across the healthcare, software, and retail industries.
- Advised on a broad range of corporate and real estate financing transactions, including secured lending, mezzanine financing, and credit facilities.
- Established regulatory compliance frameworks to navigate complex federal and state requirements across the healthcare, securities, and banking sectors.
- Advised on industrial, commercial, and large-scale residential real estate matters, including negotiating and drafting lease and development agreements and resolving real estate disputes.
- Successfully defended healthcare clients against recoupment actions from both private and public payors, including multiple extrapolated recoupments by Unified Program Integrity Contractors (UPICs).
- Structured and implemented entity and operational frameworks for businesses—including the “friendly PC” model in the healthcare sector—and provided counsel on company agreements, ownership transfers, equity grants, and corporate governance.
- Guided the formation of private real estate investment vehicles, ensuring compliance with federal and state securities laws.
- Counseled startup companies through all stages of formation and early growth, including entity selection, capital structure, equity incentive plans, commercial contracting, and representation in early-stage financing rounds with venture capital investors.
